The Institute of Directors (IoD) Annual General Meeting (AGM), held at The Boatshed in Wellington, provided a vital forum for governance leaders to engage in discussions that shape New Zealand’s corporate landscape. With 68 members attending in person and 217 joining online, the AGM underscored the importance of effective governance in driving sustainable business practices and fostering leadership excellence.
Leadership Transition and Governance Excellence
The AGM marked an important leadership transition, with Jackie Lloyd CFInstD concluding her tenure as President. Jackie played a pivotal role under the IoD’s revamped governance structure, ensuring seamless collaboration between Council and Board efforts. Her commitment to strengthening governance frameworks has been widely acknowledged across the business community.
Stepping into the role of President is Trish Oakley CFInstD, a Chartered Fellow with extensive leadership experience. Trish has simultaneously served as a Board member and Vice President of the IoD Council and also holds roles as Chancellor of the University of Otago and Head of Summer KiwiSaver and Investments at Forsyth Barr.
Joining her in leadership is Jonathan Mason CFInstD, who has been confirmed as Vice President. Jonathan brings a wealth of experience as chair of the Auckland Branch Committee, chair of the NZ US Council, and director of Zespri Group Ltd. These leadership appointments reinforce IoD’s commitment to strong, experienced governance in New Zealand.
In addition to the presidential transition, the AGM confirmed the reappointments of Karen Price CFInstD and Aleisha Staples MInstD to the Board. Scott Mason CFInstD, chair of the Otago Southland branch, has also joined the Board, replacing Chris Day, who stepped down in April. Chris’s contributions to governance, finance, and risk management have been invaluable, and his efforts were acknowledged by members in attendance.
Gender Equity in Corporate Governance
One of the most notable moments of the AGM was the passing of a motion advocating for greater gender equity on listed company boards. Proposed by Lorraine Thomson MInstD, the motion received majority approval, reflecting a growing commitment to fostering diversity and inclusion at the highest levels of corporate leadership.
Gender equity in governance remains an essential factor in driving innovation and balanced decision-making within organisations. With New Zealand’s business community increasingly prioritising inclusivity, the motion’s approval signals a step forward in ensuring that leadership teams better represent the diverse perspectives and talents within the country’s workforce.
Fireside Chat with Dame Fran Wilde DNZM QSO
The AGM provided an enriching opportunity to learn from distinguished leaders, with Dame Fran Wilde DNZM QSO sharing reflections on her governance career in a fireside chat with Monique Forbes, a Future Director on the IoD board.
Dame Fran’s governance journey has been marked by significant contributions to public and private sector leadership. Her insights into governance challenges, decision-making processes, and the evolving business landscape offered valuable lessons for attendees. From navigating economic shifts to promoting ethical leadership, her reflections highlighted the importance of strong governance in fostering business resilience and long-term success.
